1. Overview

BidPropel (“BidPropel,” “we,” “us,” or “our”) provides an AI-powered software-as-a-service platform for freelancers that includes: proposal writing with job post analysis, context generation, email drafting for invoice follow-ups and client communication, Terms of Service violation detection (“TOS Firewall”), client relationship management, and related tools (collectively, the “Service”).

By accessing or using BidPropel, you (“you,” “your,” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old to use BidPropel. By creating an account, you represent that you are at least 18 and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration & Security

You must provide accurate, current, and complete information when creating your account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. BidPropel is not liable for any loss or damage arising from your failure to protect your credentials.

4. AI-Generated Content

4.1 Nature of AI Outputs

BidPropel uses artificial intelligence — including large language models from OpenAI, DeepSeek, and Groq — to generate proposals, context analyses, email drafts, and TOS violation assessments (“AI Outputs”). AI Outputs are suggestions only. They are not professional legal, financial, or career advice.

4.2 Human Review Requirement

You agree to review all AI Outputs before use. You are solely responsible for the content you send to clients, submit to platforms (including Upwork), or otherwise publish based on AI Outputs. BidPropel does not guarantee the accuracy, completeness, or appropriateness of any AI Output for your specific situation.

4.3 Platform Compliance

When using BidPropel's TOS Firewall to scan job posts, you acknowledge that the scan is an AI assessment, not a definitive legal determination. You remain responsible for complying with the terms of service of any third-party platform (including Upwork, Fiverr, Toptal, Freelancer, etc.) where you submit proposals or communicate with clients.

5. Credits & Billing

5.1 Free Tier & Credit Packs

BidPropel provides every account with a free monthly allowance: 3 proposal generations and 3 context generations per calendar month. Beyond the free allowance, you may purchase one‑time credit packs as described on our Credits page. Credit packs are one‑time purchases — there are no subscriptions, no recurring charges, and no auto‑renewals. Free allowances reset at the beginning of each calendar month. Unused free allowances do not roll over.

5.2 Credits Never Expire

Purchased credits do not expire. You may use them at any time — next week, next month, or next year. There are no maintenance fees, dormancy fees, or hidden charges of any kind.

5.3 Refunds

We offer a 7-day money-back guarantee on unused credits. If you are not satisfied with your purchase, contact support@bidpropel.com within 7 days and we will issue a full refund for any credits you have not yet used. Refunds are processed same-day.

5.4 Price Changes

Credit pack prices may change over time. The price at the time of your purchase is the price you pay — there are no surprise adjustments. We will update our pricing page with current rates.

6. Acceptable Use

You agree not to use BidPropel for:

  • Harassment, threats, or any form of abusive communication.
  • Fraud, deception, or misrepresentation — including impersonating another person.
  • Sending spam, unsolicited bulk messages, or any communication that violates anti-spam laws (including CAN-SPAM and GDPR).
  • Generating content for illegal activities, including but not limited to: hacking tools, malware, phishing content, or any material that violates applicable law.
  • Scraping, indexing, or otherwise mining data from the Service for the purpose of building a competitive product.
  • Reselling, sublicensing, or redistributing BidPropel's AI outputs as a standalone service (i.e., operating an AI proposal farm or white-labeling the outputs).
  • Attempting to reverse engineer, decompile, or extract the underlying models, prompts, or analysis pipelines.
  • Using the Service in any way that violates the terms of service of third-party platforms (e.g., Upwork, Fiverr).
  • Any activity that imposes an unreasonable load on our infrastructure (as determined solely by us).

We reserve the right to suspend or terminate accounts that violate these acceptable use terms, without prior notice and without refund for the current billing period.

7. Intellectual Property

7.1 Our IP

BidPropel, its branding, website, software, analysis pipelines, prompt architectures, and all original content are owned by BidPropel and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our IP without express written permission.

7.2 Your Content

You retain ownership of the content you input into BidPropel (job post text, client information, etc.) and the content you create based on AI Outputs after your review and personalization. By using the Service, you grant us a limited, worldwide, royalty-free license to use your inputs and outputs solely to provide and improve the Service.

7.3 Feedback

If you submit feedback, suggestions, or bug reports about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose, including improving the Service, without compensation to you.

8. Third-Party Services & Integrations

BidPropel integrates with third-party services including Clerk (authentication), Supabase (database), OpenAI / DeepSeek / Groq (AI models), Paddle (payment processing), Resend (email delivery), and optionally Google Gmail API (email sending). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party integrations is subject to their respective terms of service and privacy policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR SUITABLE FOR YOUR PURPOSES.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDPROPEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST CLIENTS, LOST DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIDPROPEL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the limitation or exclusion of liability for consequential damages, so the above limitation may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless BidPropel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms, (b) your use of AI Outputs, (c) your violation of any third-party platform's terms of service, or (d) your violation of applicable law or third-party rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 9, 10, 11, 12, 13, and 14) shall survive.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration on an individual basis (not class arbitration), except that either party may seek injunctive relief in court for intellectual property violations. You agree to resolve disputes through good-faith negotiation before initiating formal proceedings.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via email (to the address associated with your account) and/or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before they take effect.
